BESPOKE TECHNICAL LEADERSHIP LTD ("LocalPay", "Company", "we", "us", or "our") provides a non-custodial crypto wallet ("App", "Site") that enables users to securely manage, store, and transfer supported digital assets. By using LocalPay, you agree to these Terms of Service ("Terms" or "Agreement"). If you do not agree, do not use LocalPay.

By accessing or using LocalPay, you:
We may change these Terms from time to time for valid reasons, such as to reflect changes in our services, technology, or applicable laws and regulations. We will provide you with an advance notice of any material changes by posting the updated Terms in the App or on our Site and/or sending a notification to your registered email address. If you do not agree to the updated Terms, you must stop using LocalPay before they take effect. Your continued use of LocalPay after the effective date of the changes will constitute your acceptance of the updated Terms.
Some features rely on third-party services (such as KYC partners, off-ramp providers, on-ramp providers, decentralized exchanges). Your use of those services is subject to their terms and policies and you may be required to enter into a separate agreement with the third-party provider.
You may use LocalPay only if:
We reserve the right to deny or suspend your access if you fail to complete KYC or if your KYC status changes or if we suspect you are in violation of these eligibility requirements.
As a non-custodial wallet, LocalPay gives you full control over your digital assets. This control comes with significant responsibility.
You grant us a perpetual, worldwide, royalty-free, and non-exclusive right to use, reproduce, modify, and distribute any feedback, ideas, or suggestions you provide regarding LocalPay for any purpose, without any compensation to you.
You agree NOT to:
LocalPay may charge fees for certain transactions or services. Any applicable fees will be disclosed to you in the App or on the Site before you complete a transaction. These fees are subject to change at our discretion. You are solely responsible for paying any third-party or blockchain network fees (e.g., "gas" fees or fees charged by off-ramp providers) required to process your transactions.
LocalPay may integrate, link to, or provide access to third-party websites, applications, or services (e.g., decentralized exchanges, fiat on-ramps, fiat off-ramps and others provided by partners with appropriate licenses). We do not control or endorse such services and are not responsible for their content, security, or reliability. Your use of third-party services is at your own risk and subject to their respective terms and policies.
For off-ramp services, you will interact directly with a third-party off-ramp provider, and LocalPay acts solely as a non-custodial wallet without taking custody of your assets or funds during the process.
We may suspend or terminate your access to LocalPay if you materially breach these Terms. We will provide you with reasonable notice of our intention to suspend or terminate your access, giving you an opportunity to remedy the breach where feasible. However, we may suspend or terminate your access immediately and without prior notice if required by law, or if we reasonably believe your conduct poses a security risk to LocalPay, other users, or the integrity of the service. You may stop using LocalPay at any time. Upon termination, your right to use the App immediately ceases. As a non-custodial service, you will retain control over and access to your digital assets on the blockchain via your private keys/recovery phrase. Provisions of these Terms that by their nature should survive termination shall do so.
Termination of your LocalPay access may also affect your ability to use integrated third-party services, such as off-ramp providers, but any ongoing transactions with third parties will be governed by their terms.
WE WILL PROVIDE OUR SERVICES WITH REASONABLE CARE AND SKILL. HOWEVER, TO THE FULLEST EXTENT PERMITTED BY LAW, LOCALPAY IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE APP WILL ALWAYS BE AVAILABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE. THIS DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.
Information provided through the App or Site is for informational purposes only and does not constitute legal, financial, tax, or investment advice. You are solely responsible for your use of LocalPay and for any decisions you make regarding your digital assets. You should consult with a qualified professional before making any financial decisions.
You agree to indemnify, defend, and hold harmless LocalPay, BESPOKE TECHNICAL LEADERSHIP LTD, and its directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or in any way connected with your use of LocalPay, your User Content, your interactions with third-party services (including off-ramp providers, on-ramp providers, KYC providers and other third-party providers), or your violation of these Terms.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW, INCLUDING YOUR STATUTORY RIGHTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOCALPAY, BESPOKE TECHNICAL LEADERSHIP LTD, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP OR SITE INCLUDING ANY TRANSACTIONS HANDLED BY THIRD-PARTY ON-RAMP OR OFF-RAMP PROVIDERS.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LOCALPAY AND ITS AFFILIATES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
These Terms and any dispute or claim arising out of or in connection with them are governed by and construed in accordance with the laws of England and Wales, without prejudice to any mandatory consumer protection provisions that may apply in your country of residence. If a dispute arises, we encourage you to contact us first to seek a resolution. If we cannot resolve a dispute, you may have the right to bring a claim in the courts of your local jurisdiction. As an alternative for resolving disputes, we can mutually agree to use binding arbitration administered in London, England, but you are not obliged to do so.
